Terms and Conditions of FADRI
Please read these Terms and Conditions ("Agreement") carefully before using the FADRI platform ("Service") operated by FADRI ("Company," "we," or "us"). This Agreement sets forth the legally binding terms and conditions for your use of the Service.
By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree with any part of the terms and conditions, then you may not access the Service.
1. Acceptance of Terms
By using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions.
2. Description of Service
FADRI provides a platform that offers various tools and services for marketing automation, customer relationship management, and business management. The Service is provided on an "as-is" and "as-available" basis, and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.
3. User Responsibilities
You are solely responsible for your use of the Service and for complying with all applicable laws and regulations. You agree not to use the Service for any unlawful or unauthorized purposes. You shall not transmit any viruses, malware, or other malicious code that may harm the Service or interfere with the use of the Service by others.
4. Intellectual Property
All intellectual property rights in the Service, including but not limited to trademarks, copyrights, and trade secrets, are the property of FADRI or its licensors. You may not use, reproduce, modify, or distribute any part of the Service without the prior written consent of FADRI.
5. Privacy Policy
FADRI's Privacy Policy governs the collection, use, and disclosure of personal information provided by you in connection with the Service. By using the Service, you consent to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy.
6. Limitation of Liability
In no event shall FADRI or its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Service or this Agreement, even if advised of the possibility of such damages.
7. Indemnification
You agree to indemnify and hold FADRI and its directors, officers, employees, and agents harmless from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service or your violation of this Agreement.
8. Termination
We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach this Agreement. Upon termination, your right to use the Service will immediately cease.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws . Any legal action or proceeding arising out of or in connection with this Agreement shall be exclusively brought in the courts.
10. Entire Agreement
This Agreement constitutes the entire agreement between you and FADRI regarding the use of the Service and supersedes all prior agreements and understandings.

Payment and Account Management Policy
Effective Date: July 1, 2023
1. Payment Obligations
1.1. All users of FADRI's services are required to make timely payments for the products or services provided. Payment obligations may include but are not limited to subscription fees, purchases, or any other charges associated with the use of FADRI's services.
2. Payment Due Date
2.1. Payments are due on or before the specified due date mentioned in the invoice or payment notification sent by FADRI. It is the user's responsibility to ensure that payment is made in a timely manner.
3. Late Payment
3.1. If a payment is not received within five (5) days after the due date, FADRI reserves the right to limit the account holder's access to certain features or functionalities associated with their account.
4. Account Deletion
4.1. If a payment remains outstanding for a period of thirty (30) days after the due date, FADRI reserves the right to delete the account and permanently remove all associated information, data, and content related to the account.
5. Notice and Communication
5.1. FADRI will make reasonable efforts to notify the account holder of any missed or late payments, account limitations, or impending account deletion. Such notifications may be sent via email or through other means of communication provided by the account holder.
6. Account Reactivation
6.1. If an account has been limited or access has been revoked due to missed payments, the account holder may have the opportunity to reactivate their account by making the outstanding payment in full plus a $20 reactivation fee per month that is late. The account reactivation process and any associated fees will be communicated to the account holder.
7. Dispute Resolution
7.1. If the account holder believes that there is an error or discrepancy in the payment amount or any other payment-related matter, they must promptly contact FADRI's customer support team to initiate a dispute resolution process.
8. Governing Law
8.1. This policy shall be governed by and construed in accordance with the laws of Your Jurisdiction. Any legal disputes arising from or in connection with this policy shall be subject to the exclusive jurisdiction of the courts in Your Jurisdiction.
9. Modifications to the Policy
9.1. FADRI reserves the right to modify or amend this policy at any time. Any changes to this policy will be communicated to the account holder via email or by posting a notice on FADRI's website.
